Terms and Conditions for Regulatory Compliance Consultation

1. Appointment of Synagie as Service Provider By purchasing Synagie's on-demand Consultation Services ("Services") via the Synagie.com Website, the Client appoints Synagie to provide consultation regarding the local product notification and/or registration requirements for the Client’s products in the relevant country or territory.

2. Scope of Services The Consultation Services shall be conducted in English and scope is strictly limited to:

  1. Providing general regulatory information on product notification and/or registration requirements;
  2. Sharing best knowledge available at the time of consultation.

Synagie does not guarantee that the information provided will remain accurate or applicable in the future, as laws and regulations may change from time to time.

3. Consultation Duration and Charges Each Consultation Service purchased entitles the Client to one (1) session of up to thirty (30) minutes.

  1. Should the Consultation exceed thirty (30) minutes, the Client must purchase an additional 30-minute block via the website before continuing.
  2. No partial refunds or carry-over of unused time will be provided.

4. Pre-Consultation Questionnaire Requirement Prior to scheduling a consultation session, the Client must complete and submit a Pre-Consultation Questionnaire. The Questionnaire will request, but is not limited to, the following information:

  1. Product Category;
  2. Number of SKUs;
  3. Target Country of Importation and Sale
  4. HS codes

Consultation sessions will not be scheduled or confirmed until the completed Questionnaire has been received by Synagie.

5. No Guarantee of Outcome Synagie does not:

  1. Guarantee regulatory approval of any products;
  2. Act as a legal or compliance advisor;
  3. Assume any obligation to perform post-consultation services unless separately agreed upon.

All reliance on information provided during the consultation shall be at the Client’s sole risk.

6. Limitation of Liability To the fullest extent permitted by law:

  1. Synagie's aggregate liability under or in connection with these Services shall not exceed the consultation fee paid by the Client;
  2. Synagie shall not be liable for any consequential, incidental, special, punitive, or indirect damages;
  3. Synagie shall not be responsible for any changes in regulatory requirements that occur after the consultation date.

7. Client's Responsibilities The Client agrees to:

  1. Provide complete and accurate information in the Pre-Consultation Questionnaire;
  2. Attend the scheduled consultation session promptly;
  3. Purchase additional consultation blocks if more time is needed.

Synagie reserves the right to decline or reschedule consultations if the Client fails to meet these responsibilities.

8. Indemnity The Client agrees to indemnify, defend, and hold harmless Synagie, its affiliates, and personnel from any claims, losses, costs, penalties, or liabilities arising out of or related to:

  1. Reliance on the consultation information;
  2. Misuse of the information provided;
  3. Breach of these Terms by the Client.

9.Termination of Services Synagie reserves the right to refuse or terminate consultation services if:

  1. The Client breaches any Terms;
  2. Payment is not completed;
  3. Pre-Consultation Questionnaire is incomplete or inaccurate.
10. General Provisions

10.1. Amendments: We may, from time to time and at any time, update or revise these Terms. We will use commercially reasonable methods to notify you of such revisions, such as by posting a revised version on our Platform. Such update or revision is effective upon publication on our Platform. You are responsible for ensuring that you have read the most current version of these Terms. Your continued access and/or use of our Platform will be deemed to constitute your conclusive acceptance of the updated or revised Terms.

10.2. Governing Law and Dispute Resolution These Terms shall be governed by and construed in accordance with the laws of Singapore. Any disputes, differences or questions arising out of these Terms including the interpretation of the terms herein or with regard to the obligations, failure or breach of any terms thereof by any of the parties and/or compensation/damages payable under these Terms or of any matter whatsoever arising under these Terms, which have not been settled amicably within thirty (30) days from the commencement of informal negotiation, shall be referred by either party to arbitration in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("Rules") as presently in force and the award made in pursuance thereof shall be binding on the Parties. The seat of arbitration shall be Singapore. The proceedings of arbitration shall be conducted in English. The arbitral tribunal shall consist of one (1) arbitrator to be appointed by the mutual agreement of the parties, failing which the appointment shall be made by the president of the SIAC. The decision or award so given by the arbitrators shall be final and binding on the parties hereto.

10.3. Entire Agreement: These Terms, together with any referenced documents, represent the full understanding between Synagie and the Client.
