Terms and Conditions for Product Notification and Registration Cancellation Services

1. Appointment of Synagie as Service Provider By purchasing Synagie's on-demand Product Notification and/or Registration Renewal Services ("Services") via the Synagie.com Website, the Client hereby appoints Synagie as a service provider solely to facilitate the preparation, submission, and coordination of documentation required for the renewal of product notification and/or registration with the relevant local regulatory authorities.

Depending on the applicable regulatory requirements and the arrangement agreed with the Client, Synagie may:

(a) facilitate the Cancellation process on behalf of the Client using the Client’s own local registered entity; or
(b) where the original notification or registration was submitted via Synagie local registered entity, submit cancellation applications using Synagie’s own local registered entity solely for facilitation purposes.al registered entity solely for facilitation purposes.

In both cases, Synagie acts strictly as an administrative facilitator and not as a legal representative or principal manufacturer of the Client’s products.

2. Scope of Services Synagie's scope is limited to:

  1. Preparing, collating, and submitting cancellation requests based on information provided by the Client;
  2. Coordinating communications with relevant regulatory authorities;
  3. Providing status updates on cancellation applications.

Synagie does not verify the compliance status of the products prior to cancellation nor guarantee cancellation outcomes.

3. Client's Obligations to Cancel Notification/ Registration The Client acknowledges and agrees that if, for any reason, including but not limited to:

(a) total withdrawal of the product from sales in the local market, or
(b) termination of Synagie as the local registrant of the Client’s products in the specified market,

the Client decides to terminate the product notification and/or registration prior to its expiry, the Client shall be obliged to proceed with the cancellation of the notification and/or registration with the relevant local authorities, and shall fully cooperate with Synagie in ensuring the proper execution of the cancellation process.

4. No Guarantee of Successful Cancellation The Client acknowledges that:

  1. Final decisions on cancellation requests are made by the regulatory bodies;
  2. Synagie cannot guarantee the success, timing, or acceptance of cancellation requests
  3. Some cancellations may require additional compliance actions or conditions imposed by authorities.

Synagie shall not be liable for any delays, rejections, additional requirements, or consequences resulting from the regulatory cancellation process.

5. Limitation of Liability To the fullest extent permitted by law:

  1. Synagie's total liability shall not exceed the handling fees paid for the specific cancellation service purchased;
  2. Synagie shall not be liable for any consequential, incidental, special, or indirect damages.

The Client assumes all risks relating to the regulatory cancellation process and post-cancellation compliance.

6. Handling Fees and Other Charges Synagie’s fees are limited to service and administrative efforts and exclude:

  1. Regulatory or authority fees,
  2. Courier costs,
  3. Any third-party or incidental charges.;

The Client shall bear these additional costs separately and shall make prompt payment for these charges when invoiced.

7. Client's Obligations The Client agrees to:

  1. Provide complete, accurate, and truthful documentation and information;
  2. Promptly respond to any information requests;
  3. Bear all ancillary costs;
  4. Comply with any post-cancellation regulatory requirements.

Synagie shall not be responsible for penalties or compliance issues arising from the Client’s failure to act correctly or timely.

8. Use of Synagie's Local Entities Where Synagie utilizes its own local registered entity:

  1. This is solely for administrative facilitation.
  2. No regulatory, product, or commercial liabilities transfer to Synagie.
  3. The Client retains full responsibility for the product and its compliance.

9. Indemnity The Client agrees to indemnify, defend, and hold harmless Synagie, its affiliates, and personnel from any claims, costs, penalties, or losses arising out of:

  1. Inaccurate or incomplete information provided;
  2. Non-compliance with applicable laws;
  3. Third-party claims associated with the Client’s product(s).

No refund of service fees shall be made upon termination.

10. Termination of Services Synagie reserves the right to terminate Services if:

  1. The Client fails to comply with these Terms;
  2. Payments are not made;
  3. Fraudulent or incomplete information is provided.

No refunds shall be issued upon termination.

11. General Provisions

11.1. Amendments: We may, from time to time and at any time, update or revise these Terms. We will use commercially reasonable methods to notify you of such revisions, such as by posting a revised version on our Platform. Such update or revision is effective upon publication on our Platform. You are responsible for ensuring that you have read the most current version of these Terms. Your continued access and/or use of our Platform will be deemed to constitute your conclusive acceptance of the updated or revised Terms.

11.2. Governing Law and Dispute Resolution: These Terms shall be governed by and construed in accordance with the laws of Singapore. Any disputes, differences or questions arising out of these Terms including the interpretation of the terms herein or with regard to the obligations, failure or breach of any terms thereof by any of the parties and/or compensation/damages payable under these Terms or of any matter whatsoever arising under these Terms, which have not been settled amicably within thirty (30) days from the commencement of informal negotiation, shall be referred by either party to arbitration in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("Rules") as presently in force and the award made in pursuance thereof shall be binding on the Parties. The seat of arbitration shall be Singapore. The proceedings of arbitration shall be conducted in English. The arbitral tribunal shall consist of one (1) arbitrator to be appointed by the mutual agreement of the parties, failing which the appointment shall be made by the president of the SIAC. The decision or award so given by the arbitrators shall be final and binding on the parties hereto.

11.3. Entire Agreement: These Terms, together with any referenced documents, represent the full understanding between Synagie and the Client.
